HIVE Digital Seeks $75 Million to Accelerate AI Infrastructure Buildout

HIVE Digital Technologies is moving to raise $75 million in a private offering of exchangeable notes, signaling a continued and costly push into artificial intelligence infrastructure. The company, once known primarily as a Bitcoin miner, stated the capital will fund purchases of graphics processing units (GPUs) and data center development.

The financing mechanism is complex: the zero-interest notes, due in 2031, are exchangeable into cash or common shares under specific conditions. HIVE also plans to enter hedging transactions to limit potential share dilution from future conversions. News of the offering coincided with an 11.5% drop in the company's Nasdaq-listed share price on Thursday.

This fundraising effort underscores a broader industry trend. Numerous publicly-traded mining firms, including Marathon Digital, Riot Platforms, and CleanSpark, are leveraging their power contracts and data center footprints to host high-performance computing and AI workloads. HIVE itself reported quarterly revenue of $93.1 million, a 219% year-over-year increase, reflecting its early 2022 pivot. The company recently signed a $30 million deal to deploy over 500 of Nvidia's latest B200 GPUs for enterprise AI cloud services.

Separately, HIVE received conditional approval to list its shares on the Toronto Stock Exchange, with trading anticipated later this month. The parallel narratives of capital raising and exchange listings highlight the scale of investment required to compete in the crowded field of AI infrastructure, where even established cloud providers are securing multi-billion dollar commitments for compute capacity.
