Advanced Micro Devices secured a massive commitment from Meta Platforms this week, an agreement that could generate over $60 billion in sales of its AI chips. Yet the fine print of the deal underscores the distinct market positions of AMD and its dominant rival, Nvidia.

Meta has agreed to purchase 6 gigawatts worth of AMD’s graphics processors for its data centers. AMD CEO Lisa Su noted each gigawatt represents "double-digit billions" in revenue. However, the arrangement includes a significant provision: Meta could acquire nearly a 10% stake in AMD at minimal cost if specific performance and stock price targets are met. This follows a similar equity offer AMD made to OpenAI last autumn.

For AMD, these partnerships represent a strategic trade-off. The company argues the deals will boost earnings per share and create deeply aligned incentives with key AI pioneers. "This is about a strategic partnership," Su told CNBC, framing it as an expansion beyond a typical sales contract.

Contrast this with Nvidia’s recent dealings. When Nvidia announced its own major chip supply agreement with Meta last week, no equity grant was attached. Furthermore, Nvidia is reportedly in discussions to invest up to $30 billion into OpenAI, not receive an ownership stake from it.

The difference highlights Nvidia’s entrenched strength. With superior market demand and technology, it can secure agreements without diluting existing shareholders. AMD, while landing crucial business, is using equity to secure its foothold in a market Nvidia currently defines. As Meta’s stock dipped slightly on concerns over its immense AI spending, the industry will watch closely to see if AMD’s calculated bet pays off for its shareholders in the long term.
